1. Agreement and Service Operator

These Terms of Service ("Terms") are an agreement between you and the developer and operator of Talas ("Talas," "we," "us," or "our").

By creating an account, tapping an acceptance control, or using the Talas application and related web services (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Who Talas Is For

Talas is an educational learning and quiz service for accountancy, business, finance, and related learners. Its users may include undergraduate students, reviewees, professionals, high school learners, and other eligible learners. Unless an institution-specific arrangement applies, you do not need to be a student of, or receive prior permission from, the developer to use Talas.

3. Eligibility and Minors

Talas does not currently use date-of-birth or identity-document verification. If we learn that an ineligible child is using the Service, we may restrict the account and delete associated personal data as required by law.

5. Access Tiers, Trials, and Usage Limits

Talas may offer Standard access, temporary trials, Super Learner access, or other entitlements. Different access levels may have different daily usage budgets, offline-download rights, or feature availability.

An entitlement may expire, be corrected, or be withdrawn if it was granted in error, abused, or was expressly temporary. Talas may reasonably adjust free feature limits to protect service reliability, cost, security, and fair access. We will give reasonable notice of material changes when practicable.

At the date of these Terms, Talas does not provide an in-app paid subscription or collect payment-card information. If paid services are introduced, the price, renewal, cancellation, and refund terms presented at purchase will also apply.


6. Educational and AI-Assisted Content

Unless expressly stated, Talas is not sponsored, endorsed, certified, or operated by the Professional Regulation Commission, Board of Accountancy, Commission on Higher Education, any examination body, school, university, review center, professional organization, publisher, or standards-setter.


7. Community and User-Submitted Content

"User Content" includes display names, profile photos, forum threads, replies, community notes, votes, reports, question feedback, and other material you submit through the Service.

You retain any rights you have in your User Content. You grant Talas a non-exclusive, royalty-free license to host, store, reproduce, format, display, and process that content only as reasonably needed to operate, secure, moderate, back up, and improve the Service. This license includes showing content to the audiences indicated in the Service, such as signed-in learners, tribe members, moderators, administrators, teachers, or school administrators.

You represent that you have the right to submit your User Content and that it does not violate law or another person's rights. We may review, restrict, anonymize, or remove User Content when reasonably necessary for moderation, safety, legal compliance, service integrity, or account deletion. Public conversation content may be retained in anonymized form after account deletion so that discussions remain understandable.

9. Multiplayer, Facilitated Sessions, and Fair Play

Multiplayer and facilitator-led modes may record answers, response timing, connection status, room activity, and app-switch or similar integrity signals. Depending on the mode, these signals and session results may be visible to the room host, authorized teacher, facilitator, administrator, or other participants.

Integrity signals are contextual indicators and may be affected by device or network behavior. They should not be treated as conclusive proof of misconduct without appropriate human review. Talas multiplayer results are not official examination results unless a participating institution expressly states otherwise under its own rules.


10. Institutions, Classes, and Third-Party Rules

If you join a school, class, review group, or institution-supported experience, authorized teachers and administrators may access enrollment and learning information made available for that group. Your institution may impose additional academic, conduct, or privacy rules. Those rules are between you and the institution and do not replace these Terms.

Selecting an institution in your profile does not by itself prove enrollment, create an official relationship, or imply endorsement by that institution.


11. Intellectual Property

The Talas software, interface, branding, original content, and other materials created or licensed for Talas are protected by applicable intellectual property laws. Talas does not claim ownership of User Content or third-party materials merely because they appear in or are referenced by the Service.

Subject to these Terms, Talas gives you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for lawful educational purposes.


12. Privacy

Our Privacy Policy explains what personal data we process, why we process it, who may receive it, how long it may be kept, and how to exercise privacy rights. The Privacy Policy is a notice and is incorporated into these Terms by reference. Where consent is legally required for a specific processing activity, we will request it separately when appropriate.


13. Suspension, Moderation, and Account Deletion

We may warn, restrict, suspend, or terminate an account when reasonably necessary to address a violation of these Terms, protect users, prevent abuse, comply with law, investigate security issues, or preserve the integrity and availability of the Service.

Where appropriate, we will provide notice or a way to contact us. Immediate action may be taken when delay could create harm, security risk, or evidence loss.

You may start account deletion from the Profile screen. Deletion is permanent once completed. Some public contributions may be anonymized rather than erased, and limited records may be retained where reasonably necessary for security, legal compliance, dispute resolution, or backup recovery, as described in the Privacy Policy.


14. Third-Party Services and Links

Talas relies on third-party services, including Google authentication, Firebase and Google Cloud infrastructure, notification and analytics services, and Google AI services. Their availability and separate terms or privacy practices may affect parts of the Service.

Links or references to external websites, official sources, schools, publishers, or other organizations are provided for convenience or attribution. Talas does not control and is not responsible for their content or availability.


15. Service Availability and Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available." We do not promise that every feature or item of content will always be available, uninterrupted, secure, current, or error-free. Offline and cached features may contain older information until they synchronize.

Nothing in these Terms excludes a warranty, remedy, consumer right, or liability that applicable law does not allow to be excluded.


16. Limitation of Liability

To the maximum extent permitted by applicable law, Talas and its developer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Service.

This limitation does not apply to fraud, willful misconduct, gross negligence, or any liability that cannot legally be limited. You remain responsible for independent academic and professional decisions and for verifying high-stakes information.


17. Responsibility for Misuse

To the extent permitted by law and to the extent you are legally capable of agreeing, you are responsible for reasonable losses or claims caused by your willful unlawful misuse of the Service, infringement of another person's rights, or material violation of these Terms. This section does not require you to compensate Talas for losses caused by Talas's own fault or for obligations that cannot lawfully be imposed on you.


18. Changes to the Service or Terms

We may update these Terms to reflect product changes, legal requirements, security needs, or operating practices. We will identify the revision date and may provide in-app notice.

When a change is material, Talas may require you to review and affirmatively accept a new Terms version before continuing to use the Service. Non-material clarifications may take effect when posted. If you do not agree to an updated version, you must stop using Talas and may request account deletion.


19. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines, without prejudice to mandatory rights or remedies available under applicable law.

Before starting formal proceedings, you and Talas are encouraged to attempt to resolve a dispute in good faith by contacting guilius.kanin@gmail.com, unless urgent relief or a regulatory complaint is appropriate.


20. Severability and Entire Agreement

If a provision of these Terms is found unenforceable, it will be applied to the maximum extent permitted and the remaining provisions will continue in effect.

These Terms, the Privacy Policy, and any additional terms expressly presented for a particular feature form the agreement governing your use of Talas.
